Draft for legal review — not yet in force
Brand Terms
브랜드 이용약관 (초안)
How brands post briefs, what a licence actually buys, and the rules for using creator content.
1. Who these terms are for
These terms apply to businesses using Yeppo to brief creators or license their content. They sit alongside the Terms of Service and the Privacy Policy. Where we sign a separate order or statement of work with you, that document wins.
By registering you confirm you are acting for a business and have authority to bind it. Consumer protection rules for individuals do not apply to this relationship.
2. Your account
- Give us accurate company details and keep them current.
- You are responsible for everything done through your account, including by your agency or staff.
- You may only promote products your company is entitled to sell, and you must hold the rights to any brand asset you supply.
3. Briefs
- A brief states the content type, budget, deadline and licence tier. Creators apply with a pitch, and you shortlist, award or decline.
- Awarding a brief creates a binding order for that work at the stated fee.
- Review submitted work within [3] business days. If you do not respond, it counts as approved.
- Two rounds of revisions are included. Asking for something the brief did not cover is new work at a new price.
- You may not ask a creator to make a medical claim about a cosmetic product, to hide that the post is paid, or to copy another brand's creative.
4. What a licence buys
Creators keep ownership of their content. You buy a licence to use it, on the tier shown at purchase:
| Tier | You may | You may not |
|---|---|---|
| Non-exclusive | Use the content in your own marketing for the licence period | Stop the creator licensing it to others, or resell it |
| Platform exclusive | Be the only buyer of that content on Yeppo for the period | Stop the creator posting it on their own channels |
| Exclusive | Be the only user of the content for the period | Claim ownership, or keep using it after the period ends |
Every licence ends on the date shown at purchase. After that, take the content down, except for printed or placed material already published. You may edit for length and format, but not in a way that changes what the creator said or implies an endorsement they did not give.
[REVIEW] Term length, territory and whether paid media is included are not yet defined in the product. Brands will ask. Set them, and state whether a licence covers use by the brand's retailers and distributors.
5. Fees and payment
- Prices are shown at purchase in US dollars unless stated otherwise, and are payable immediately by card through Stripe.
- Yeppo keeps a 35% platform fee; the creator receives 65%. For a brief, the fee shown is what the creator is paid.
- Taxes are added where they apply. If withholding is required in your country, the amount payable to us is grossed up so we receive the full fee.
- Licences are digital and delivered immediately, so payments are non-refundable once you download the content, except where the content infringes someone's rights or materially fails the brief.
[REVIEW] There is no refund or dispute flow in the product today. Counsel should confirm this clause against Korean e-commerce rules for business buyers, and against the VAT and withholding position for cross-border sales.
6. Disclosure is your responsibility too
When you publish paid creator content, label it as advertising under the rules that apply where it runs (in Korea, the KFTC review-advertising guidelines). Do not remove a disclosure the creator included.
7. What we promise, and what we do not
We screen uploads for quality and safety and check that the creator has confirmed they hold the rights. We do not guarantee any level of reach, engagement or sales, and we do not warrant that content is fit for any particular campaign. Creators are independent contractors, not our employees or agents.
8. If something goes wrong with rights
If a licensed piece turns out to infringe someone's rights, tell us and stop using it. We will remove the listing, and refund or replace it. Beyond that, and to the extent the law allows, our total liability for any claim is limited to the fees you paid us for the content in question in the 12 months before the claim, and we are not liable for indirect or consequential loss, including lost sales.
You cover us for claims arising from your own brand assets, your product claims, or your use of content beyond the licence you bought.
9. Confidentiality
Briefs, pricing and unpublished content are confidential. Do not share them outside your company and its agency, and use them only for the campaign they were made for.
10. Ending it
Either of us can close the account with notice. Licences already bought continue for their term. We may suspend an account immediately for non-payment, misuse of creator content, or a breach that puts creators at risk.
11. Which law applies
Korean law governs these terms, and the courts of [SEOUL CENTRAL DISTRICT COURT] have exclusive jurisdiction, unless a signed order with you says otherwise.
This draft was prepared from how the Yeppo product works today. It is not legal advice. Korean counsel (변호사) must review it, and every [PLACEHOLDER] must be filled in, before it takes effect.
